HNSD / Ownership model

Participation with clearly defined rights.

The aim is for eligible people and entities to own shares in the entity carrying HNSD, directly or through subsidiaries. Participation amounts may differ; rights must be defined in final documents.

Concept illustration — Main stadium

The interest form does not create shares, ownership or a financial commitment.

01

Interest now

The form measures people and amounts they would consider. No payment is taken and no shares are reserved.

02

Shares later

Share price, entity valuation, share classes and minimums must be defined in a lawful offering. Contribution amounts alone do not establish ownership percentages.

03

The whole district

The proposed model involves shares in the district entity. Subsidiaries and partners may limit the profits it is entitled to receive.

04

Possible dividends

Operating costs, taxes, debt obligations and reserves precede distributions. Profit does not always equal distributable cash; decisions must follow contracts and law.

05

Rights & control

Voting, inheritance, sales, dilution and major decisions must be documented. New shares can reduce your percentage; a resale market is not guaranteed.

06

Proposed governance

A board, separate project accounts, spending controls and independent audits are structures we intend to prepare, not existing arrangements.

HNSD / Ownership model

How different amounts could count.

In this scenario, all shares have the same price and rights. These examples only explain proportions.

Assumptions: the group contributes $10 million for 60% of the entity; the entity distributes $1 million after expenses, taxes, debt and reserves.

Illustrative example — not a forecast or a promise.
Intended amountShare of the entityHypothetical dividend
$10.000.00006%$0.60
$100.000.0006%$6.00
$1,000.000.006%$60.00
$10,000.000.06%$600.00
$1,000,000.006%$60,000.00

Actual distributions could be zero. Share price, rights and group allocation are not defined yet.

Dividend in this example$60.00

Your stake = your amount ÷ group capital × group stake. Dividend = your stake × distributed profit. A simplified model with equal prices and rights per share.
